TERMS & CONDITIONS FOR USING FACILITIES AND SPACES AT DIGITAL INNOVATION HUB ('TERMS AND CONDITIONS')

1. Introduction

All facilities and spaces inside the Digital Innovation Hub (herein referred to as “DIH”) are fully owned by Sarawak Digital Economy Corporation Berhad (SDEC) and operated and managed by an appointed party (hereinafter referred to as “the Operator”).

The DIH is provided for public use and for individuals, organisations and communities engaged in personal development, business, community work, digital innovation, technology, creative arts, or any activities aligned with the policies and directives of the Sarawak Government. All facilities and spaces are provided on a temporary, non-exclusive basis and may be withdrawn, modified, or suspended at any time at SDEC's discretion.

2. Definitions

Unless otherwise stated, the following terms shall apply throughout these Terms and Conditions:

  • "DIH" refers to the building, Facilities and Spaces owned by SDEC;
  • "Operator" refers to the party appointed by SDEC to manage DIH including but not limited to its procedures, operations, bookings, and maintenance;
  • "Co-Worker" refers to any individual, organisation, government agency, corporate entity, NGO (local or international) and/or statutory body (all shall include those who is/are under the invitation of the Co-Worker) granted permission by the Operator and/or SDEC to use, visit, or access DIH Facilities and Spaces during an approved period by the Operator and/or SDEC; and
  • "Facilities" and "Spaces" shall include any meeting rooms, co-working desks, startup offices, training areas, equipment, and other amenities provided within DIH.

3. Co-Worker's Usage Terms

  • Co-Workers are fully responsible for their own safety, comfort, wellbeing and needs while at DIH. The Operator and SDEC shall not be liable for any accident, illness, loss, or injury unless caused by the Operator's or SDEC's proven negligence.
  • Co-Workers shall be responsible for their behaviour, actions, and decisions including those of anyone under their care, whether acting alone or in a group. Abusive, harassing, or unlawful conduct is strictly prohibited.
  • Co-Workers shall take reasonable care of all Facilities and Spaces at DIH. No item shall be damaged, altered, removed or misused without the Operator's prior written consent. Co-Workers shall not engage in any activity that endanger themselves, others, or the premises, including but not limited to illegal, immoral, or hazardous acts.
  • The Operator shall not be responsible for loss, theft or damage to personal or corporate property brought into DIH.
  • The Operator reserves the right to inspect or monitor activities within DIH to ensure compliance with these Terms and Conditions, safety standards and security procedures.
  • In the event that the Co-Worker stays beyond the permitted time, the same shall be considered as trespasser and the Operator and/or SDEC shall have the right to evict by reasonable means.

4. Payment and Rental

  • All payments for the use of DIH services, facilities, and utilities shall be made in advance according to SDEC's prevailing rates.
  • Payments shall be made through legal and approved methods as stated in the issued invoice.
  • All confirmed bookings are non-refundable regardless of cancellation.
  • Minimum rental period for DIH Facilities and Space shall be as follows:
    • Permanent Desk: Minimum three (3) months and a maximum of three (3) years.
    • Startup Office: Minimum of six (6) months and a maximum of one (1) year.
  • A penalty of RINGGGIT MALAYSIA ONE HUNDRED (RM100.00) shall be charged to the Co-Worker for each lost access card.

5. Operator's Liability

  • The Operator is not responsible for any claims or legal actions unless proven to be caused by the Operator or its appointed representatives.
  • The Operator and/or SDEC shall not be liable for any claims, loss and/or injuries unless directly caused by the Operator’s and/or SDEC’s proven negligence.
  • The Operator and/or SDEC shall not be liable for any failure to perform obligations resulting from circumstances beyond its reasonable control,including but not limited to natural disasters, acts of government, war, fire, flood, technological disruption or any other event that can be describe as Force Majeure.
  • Any matters not covered in this Terms and Conditions shall be governed by applicable laws.

6. Operator and SDEC’s Rights

  • The Operator and/or SDEC shall have the right to suspend and terminate the Co-Worker's access if the Co-Worker breach any of these Terms and Conditions, fail to make payments as stipulated in herein, cause disturbance or harm to others; or pose a risk to the premises or reputation of SDEC.
  • The Operator may seek compensation if any part of these terms is violated by the Co-Worker.

7. Privacy and Data Use

The Operator may collect and process personal information from Co-Workers and visitors in accordance with the Personal Data Protection Act 2010 (PDPA), including but not limited to registration details, CCTV footage, and access records, for safety, security, and operational purposes.

8. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising hereunder shall fall under the exclusive jurisdiction of the courts in Sarawak.

9. Severability

If any provision or part of these Terms and Conditions is held to be illegal, invalid, or unenforceable under any applicable law, such provision shall be severed, and the remaining provisions shall remain in full force and effect. The invalidity of any clause shall not affect the validity of the remaining clauses.

10. Binding Agreement

These terms and conditions are binding unless both parties agree to cancel them. The document remains valid unless stated otherwise by law.
